LIVEproof Portal Terms of Service
These Terms of Service ("Terms") govern your general use of the LIVEproof creator portal (the "Portal") operated by LIVEproof Agency, LLC ("LIVEproof," "we," "us," "our") — including features like community chat, direct messages, scheduling, and live calls.
These Terms work alongside — and do not replace — the Portal Terms of Use and Confidentiality Agreement ("Confidentiality Agreement") you accepted when you joined LIVEproof, which separately governs confidentiality, ownership of Portal Materials, prohibited use of Portal content, suspension and termination for breach, and limitations on liability. If these Terms and the Confidentiality Agreement conflict on a specific subject, the provision that more specifically addresses that subject controls, consistent with Section 13.1 of the Confidentiality Agreement. By using the Portal, you agree to these Terms.
1. Eligibility and Accounts
The Portal is available only to individuals invited by LIVEproof as a creator, manager, or staff member, consistent with the eligibility requirement (including being at least 18 years old) in your Confidentiality Agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2. Community Conduct
In addition to the restrictions in your Confidentiality Agreement, when using community chat, direct messages, live calls, or any other interactive feature of the Portal, you agree not to:
- Harass, threaten, or abuse other users;
- Impersonate another person or misrepresent your affiliation with LIVEproof;
- Post unlawful, defamatory, or infringing content; or
- Interfere with or disrupt the Portal's operation, including live calls hosted through the Portal.
Communications sent through the Portal can be accessed and reviewed by LIVEproof admins.
3. No Retaliation
LIVEproof will not reduce your opportunities, standing, or access to the Portal because you raised a good-faith concern, filed a ticket, or reported a problem — including a problem involving your own manager.
4. Performance Data
Performance metrics displayed in the Portal (diamonds, hours, valid days, and related figures) are provided by LIVEproof based on data from TikTok's Backstage platform and are provided for informational purposes only. LIVEproof is not responsible for inaccuracies in the underlying TikTok data. As stated in Section 8.2 of your Confidentiality Agreement, this information does not guarantee income, gifts, audience growth, account status, or any particular outcome.
5. Third-Party Services
Certain Portal features rely on third-party services, including LiveKit for live calls. Your use of those features is also subject to the applicable third party's own terms.
6. Suspension, Termination, and Liability
Suspension and termination of Portal access, and the limitations on LIVEproof's liability for your use of the Portal, are governed by Sections 6, 9, and 10 of your Confidentiality Agreement, which apply equally to your use of the features described in these Terms.
7. Changes to These Terms
LIVEproof may update these Terms from time to time, consistent with Section 13.2 of your Confidentiality Agreement. Continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.
8. Governing Law and Courts
Utah law governs these Terms, without regard to conflict-of-law rules, except that federal law governs federal claims. Any lawsuit arising from or relating to these Terms must be brought exclusively in a state court of competent jurisdiction located in Utah County, Utah, or, if federal jurisdiction exists, in the United States District Court for the District of Utah — the same forum designated in Section 11 of your Confidentiality Agreement.
